Boards are responding accordingly. Research from EY's Center for Board Matters indicates that nearly half of Fortune 100 companies now reference AI as part of board oversight responsibilities, a sharp increase over recent years.1
Regulatory expectations are evolving in parallel. In the United Kingdom, oversight responsibilities are being articulated through existing sectoral regulators, including the Financial Conduct Authority and the Information Commissioner's Office. In Europe, the EU Artificial Intelligence Act introduces a risk-based framework with phased compliance obligations beginning in 2026.2
At the same time, the economic outcomes of AI deployment remain uneven. Gartner research suggests that only a small proportion of AI initiatives deliver transformational impact, while many fail to achieve measurable return.3
Workforce implications add further complexity. Surveys of senior HR leaders indicate that artificial intelligence is expected to reshape a substantial proportion of organisational roles in the coming years.4 The World Economic Forum projects that while automation may displace millions of jobs globally, new roles will also emerge as organisations redesign how work is performed.5
The board agenda has expanded. Oversight expectations have risen. AI now sits firmly within the remit of board governance.
Yet recognition alone does not guarantee effective oversight.

In early 2026, Block announced significant workforce reductions alongside increased investment in AI-driven productivity tools. The decision was framed as a strategic shift, reflecting the view that artificial intelligence would fundamentally reshape how companies operate.
Moments such as this represent more than operational change. They are governance inflection points.
The strategic premise may well be valid. AI will alter operating models. The governance question is whether the assumptions behind such a shift have been rigorously examined at board level.
Boards facing similar decisions might ask:
- Were projected productivity gains stress-tested against operational complexity across business units?
- Were downside scenarios modelled if AI capability under-delivered?
- Was organisational resilience evaluated alongside cost efficiency?
- Was the pace of implementation aligned with the organisation's risk tolerance?
In companies led by ambitious, technology-forward executives, strategic momentum can move quickly. Strategic boldness can accelerate innovation. It can also compress deliberation. The board's role is not to restrain ambition, but to ensure that ambition is supported by evidence and aligned with long-term value creation.
AI did not create the risk in this scenario.
The quality of governance determined how that risk was evaluated.
Algorithmic Risk in Public Decision-Making
Where algorithms influence consequential decisions, governance expectations increase significantly.
Across UK public bodies and local authorities, algorithmic tools are increasingly used to support decisions in areas such as safeguarding, housing allocation, and benefits administration. The rationale is clear: prioritise scarce resources, identify risk earlier, and improve efficiency.
Where algorithmic systems influence decisions affecting vulnerable populations, the governance threshold rises.
The issue is not simply whether the technology functions technically, but whether oversight mechanisms are sufficiently robust.
Questions for Board Consideration:
- Has the model been independently tested for bias against protected characteristics?
- Are false positives and false negatives monitored and reported at oversight level?
- Is there meaningful human review before consequential decisions are made?
- Is accountability clearly assigned for outcomes produced by the system?
Public sector oversight bodies operate under particularly high expectations of transparency and fairness. Decisions can affect access to housing, benefits or safeguarding interventions and are therefore subject to legal, regulatory and public scrutiny.
Algorithmic tools may function precisely as designed.
The governance question is whether their design, deployment and oversight have been examined with equal rigour.

Major AI initiatives should include clear metrics, scenario testing and defined escalation thresholds.
Review AI strategy alongside its implications for workforce design and organisational culture.
Assess whether the board's composition and skills matrix support effective interrogation of technology-driven strategy.
What Effective Boards Do Differently
Effective oversight rarely emerges by accident. It is the result of deliberate governance design.
If artificial intelligence exposes governance maturity, governance cannot remain implicit. It must be designed deliberately.
Boards that oversee technological change effectively tend to share several structural characteristics.
First, accountability is clearly defined. AI oversight is anchored within existing governance structures rather than dispersed across technology teams, risk functions and business units.
Second, interrogation is structured. Effective boards define the evidence required to evaluate AI initiatives before implementation accelerates. They request reporting that captures both value and risk, and expect scenario modelling in which technological assumptions materially influence strategy.
Third, human capital implications are treated as governance issues rather than operational consequences. AI deployment affects workforce design, organisational culture and reputation. Boards that integrate these considerations into strategic oversight are better positioned to manage the transition responsibly.
These practices do not represent a new category of governance. They reflect familiar disciplines applied with greater intentionality as organisations adopt increasingly complex technologies.
Capability and the Skills Matrix
Governance frameworks are only as effective as the directors responsible for applying them.
Even the most carefully designed governance structures are ultimately constrained by board capability.
If oversight requires interrogation, someone must be capable of conducting it.
Many boards continue to rely on traditional skills matrices that emphasise sector expertise, financial literacy, and executive experience. These remain essential foundations. Yet the integration of digital technologies has expanded the scope of governance beyond these traditional dimensions.
AI oversight does not require technical specialists at board level.
It requires directors capable of informed challenge.
Boards increasingly benefit from experience in areas such as digital transformation, data governance, organisational redesign, and technology-driven strategy.
The implication is not that every board must recruit technologists. Rather, boards must ensure that their collective capabilities reflect the strategic trajectory of the organisation they oversee.
Recruitment and succession planning therefore become instruments of governance design rather than administrative processes.
